Fusion 360 License Agreement

“Switched Subscription” means a single-user or multi-user subscription that replaces and replaces an existing subscription to the Software or Web Services. Whether a subscription is a dial-up subscription may be indicated on your order confirmation, license identification, or any other document associated with the switch. 7.5 Entire Agreement; Divisibility. This Single User Subscription Agreement and all other terms referenced in this Single User Subscription Agreement (para. B Autodesk License and Service Agreements and Terms of Use) constitute the entire agreement between the parties (and merge and supersede all prior or contemporaneous agreements, discussions, notices, representations, warranties, advertisements, or agreements) with respect to the subject matter of this Agreement. The parties acknowledge that in entering into this Individual User Subscription Agreement, they do not rely on any agreements, discussions, communications, representations, warranties, publicity or agreements that are not expressly set forth in this Single User Subscription Agreement. You acknowledge and agree that Autodesk may modify or modify the terms of this Individual User Subscription Agreement or the Terms of Service from time to time, provided that Autodesk gives written notice of the additions or changes before the modifications or changes take effect for you. The terms you have set forth in any notice you have provided that purport to modify this Individual User Subscription Agreement or any other Terms of Use or any other terms will be void and ineffective, unless agreed in writing and signed by an authorized representative of Autodesk. Any other changes to this Single User Subscription Agreement will also be void unless signed in writing by an authorized Autodesk representative. If a court of competent jurisdiction finds, in a final and non-appealable judgment, that any provision of these Terms and Conditions is unenforceable, that provision shall be enforced to the extent possible in accordance with the stated intention of the parties, while the remainder of these Terms and Conditions shall remain in full force and effect. You are not required to provide Autodesk with any suggestions for improvement, suggestions, or other feedback (collectively, the “Feedback”), whether as part of a trial or otherwise, except as otherwise provided in the Special Terms of an Offering.

However, if you provide Feedback, you hereby grant Autodesk a non-exclusive, transferable, irrevocable, worldwide, royalty-free license (with right to sublicense) to disclose and otherwise use the Feedback and all offerings that use the Feedback to, use, sell, offer, reproduce, modify, distribute, make available, publicly display, and perform, disclose and otherwise exploit the Comments. 5.3 Ownership of Confidential Information. All confidential information remains the property of the disclosing party. The Receiving Party does not acquire any right or license to the Disclosing Party`s intellectual property, including, but not limited to, patents, trademarks, copyrights, or service marks under this Support Agreement or through disclosure under this Agreement, except for the limited right to use such Confidential Information in accordance with this Support Agreement. 3.1 Restrictions apply to the Services. Autodesk has the right (but not the obligation) to monitor and audit your use of the Service (and its authorized users) to verify compliance with these Terms. Any use or access except in accordance with these Terms is not permitted. 9.

Termination. The license is valid until terminated by you or Autodesk. Your rights under this license will automatically terminate without notice from Autodesk if you fail to comply with one or more of the terms of this license. Upon termination of the license, you must cease all use of the Product and destroy all copies of the Product in whole or in part. In addition to any remedies Autodesk may have for a breach of the terms of this Agreement, Autodesk also has the right, in its sole discretion, to suspend or terminate your use of the Product. “Autodesk Maintenance Plan” means the standard Autodesk Maintenance Plan agreement between you and Autodesk that governs your right to receive maintenance plan benefits (including, but not limited to, support) related to the Covered Software. Authorized Users means (i) you (if you are an individual) and (ii) identified persons (such as your individual employees, consultants and contractors and others who access and use an Offering to your advantage) for whom you have purchased a subscription to an Offering. If an Offering allows you to designate Authorized Users for such an Offering, you are responsible for informing and obtaining the consent of such Authorized Users of the application of these Terms to their access to and use of that Offering prior to their access and use. 2.7 Security is important. The Services are provided using processes and safeguards designed to help ensure the security of your Content that is appropriate for the Services. Autodesk may, from time to time, review and report Autodesk`s compliance with Autodesk security controls applicable to certain Autodesk Services (“Reports”) by external auditors. You may request from Autodesk a copy of the reports applicable to the Service (if any), and Autodesk will provide you with copies of the Reports (subject to the signing of a non-disclosure agreement acceptable to Autodesk and, if applicable, to service providers and external auditors).
