Framework Agreement Order Form

A supplier of goods or services often sets up a facility where a customer can from time to time place an order with the supplier under standard terms agreed in advance. This makes it easier for the parties to reach an agreement on all conditions when they subsequently enter into transactions (which are similar to each other) for one or more types of goods or services. This Agreement is generally referred to as a “Master Agreement” or “Call Agreement” (and sometimes “Master Order Agreement” or “Master Purchase Agreement”). The terms “frame” and “appeal” are often used interchangeably to mean the same thing. Each model contract sets out the basic terms in the body of the agreement, and these apply regardless of the particular type of goods or services that the supplier wants and can provide to its customer. The general conditions in Annex 2 apply in conjunction with the basic conditions. Each order is therefore made according to the conditions set out both in the main agreement and in Annex 2 that you attach to it. In order to create such a “framework” or “on-demand agreement” for a particular type of goods or services, the supplier and the customer must include in Annex 2 of the agreement the special standard conditions intended to govern the delivery of the particular type of goods or services that that customer will need or that may be necessary in the future. Once this Annex 2 has been inserted, either Party may sign the Agreement.

The conditions in Annex 2 inserted should be a set of standard conditions chosen by the supplier as suitable for its use. This can be one of the Schedule 2 term sets that are in this subfolder and can be customized as needed, or they can be the supplier`s existing standard delivery terms. Such a “framework” or “call agreement” may take the form of a framework agreement that specifies how the customer may place an order and what conditions apply to such an order. It is not necessary for the customer to place an order at the beginning or at a later date. In this respect, it does not itself create any obligation on the part of the customer. However, if the customer decides to place an order from time to time during the term of the contract, the order creates a binding contract for the supplier to deliver the certain type and quantity of goods or services covered by the order and to pay the customer. The framework agreement forms in this sub-folder (with one of the sample documents for Annex 2 of this sub-folder or a set of standard delivery terms provided by a supplier) allow a supplier to create such a framework or a call agreement with its customers. When the customer needs goods or services of the type covered by the standard conditions attached to the contract as Annex 2, he shall place an order as part of the order procedure provided for in Annex 1 of the contract.

For this purpose, a standard purchase order shall be used, which shall be annexed to this order procedure. We have included in this subfolder two forms of order that can be used with either of the two framework agreements. .
